- Scope of Services
FTREX provides information technology consultancy services, including but not limited to:
- IT strategy and advisory services
- Systems architecture and infrastructure consulting
- Software advisory and implementation consulting
- Digital transformation consulting
- Cybersecurity advisory
- Cloud advisory services
- Technology project management
All services are subject to separate service agreements, proposals, or statements of work (SOW), where applicable.
- Eligibility
By using our services, you confirm that:
- You are at least 18 years old or legally capable of entering into binding contracts.
- You have authority to bind any entity you represent.
- You will use our services in compliance with applicable laws and regulations.
- Engagement & Payment Terms
4.1 Service Agreements
Specific services, deliverables, timelines, and fees will be detailed in a written agreement, quotation, or invoice.
4.2 Fees & Payment
- Fees are payable in the currency stated in the invoice.
- Payment terms (e.g., 7, 14, or 30 days) will be stated in the invoice or agreement.
- Late payments may incur interest at a reasonable commercial rate as permitted under Singapore law.
- All payments must be made without deduction unless required by law.
4.3 Taxes
All fees are exclusive of Goods and Services Tax (GST) or other applicable taxes unless otherwise stated.
- Intellectual Property
Unless otherwise agreed in writing:
- All intellectual property rights in methodologies, frameworks, tools, templates, and pre-existing materials remain the property of FTREX.
- Upon full payment, the client may receive a limited, non-exclusive license to use deliverables for internal business purposes.
- No resale, redistribution, or sublicensing is permitted without written consent.
- Confidentiality
Both parties agree to:
- Keep confidential any proprietary or sensitive information received.
- Use confidential information only for the purpose of performing contractual obligations.
- Not disclose confidential information to third parties without consent unless required by law.
This obligation survives termination of services.
- Client Responsibilities
Clients agree to:
- Provide accurate and complete information necessary for service delivery.
- Ensure timely access to systems, personnel, and data.
- Obtain necessary internal approvals and third-party permissions.
FTREX shall not be liable for delays caused by client inaction or incomplete information.
- Disclaimer of Warranties
To the maximum extent permitted by law:
- Services are provided on an “as is” and “as available” basis.
- We do not guarantee specific business, financial, or operational outcomes.
- We do not warrant that services will be uninterrupted or error-free.
- Limitation of Liability
To the fullest extent permitted by law:
- FTREX shall not be liable for indirect, incidental, consequential, or special damages, including loss of profits, revenue, data, or business opportunities.
- Our total aggregate liability shall not exceed the total fees paid by the client for the specific services giving rise to the claim in the twelve (12) months preceding the claim.
Nothing in these Terms excludes liability for fraud, wilful misconduct, or liability that cannot be excluded under Singapore law.
- Indemnity
You agree to indemnify and hold harmless FTREX, its directors, officers, employees, and agents from any claims, damages, or losses arising from:
- Your misuse of services
- Your breach of these Terms
- Your violation of applicable laws
- Termination
We may suspend or terminate services if:
- Payment is overdue
- You breach these Terms
- Required by law
Upon termination, outstanding fees remain payable.
- Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Singapore.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
Your order and any related transactions will be processed in accordance with Singapore law.
- Amendments
We reserve the right to amend these Terms at any time. Updated Terms will be posted on our website with a revised effective date.
